Terms and Conditions

By creating an account, accessing, or using the Scalit platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Scalit ("we," "us," or "our").

To use the Service you must:

• Be at least 18 years of age.
• Have the authority to bind the organization on whose behalf you are registering.
• Not be prohibited from using the Service under applicable law.

By using the Service, you represent and warrant that you meet all eligibility requirements.

When you register, you create an organization account. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Promptly notifying us of any unauthorized access or security breach at legal@scalit.com.
• Ensuring that any team members you invite agree to these Terms.

You may not share your credentials with third parties or use another user's account without permission.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You may not:

• Copy, modify, or create derivative works of the Service.
• Reverse engineer, decompile, or attempt to extract source code.
• Sell, resell, sublicense, or otherwise commercially exploit the Service.
• Use the Service to build a competing product or service.
• Remove or obscure any proprietary notices on the Service.

The Service integrates with third-party advertising platforms (e.g., Google Ads, Meta Ads) via OAuth. By connecting an integration, you:

• Authorize us to access and sync data from those platforms on your behalf.
• Agree to comply with the terms of service of those third-party platforms.
• Acknowledge that we are not responsible for the availability, accuracy, or actions of third-party platforms.

You may revoke our access at any time from the Integrations page or directly from the third-party platform's settings.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Transmit malware, viruses, or other harmful code.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Scrape, crawl, or systematically extract data from the Service without our written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated means to access the Service in a manner that exceeds normal usage patterns.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated this section.

The Service, including all software, designs, text, graphics, and other content, is owned by Scalit and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely to provide and improve the Service as described in our Privacy Policy.

Some features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees as described in the pricing plan you selected. Unless otherwise stated:

• Subscriptions are billed in advance on a monthly or annual basis.
• Fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.
• We may change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.
• You are responsible for all taxes applicable to your use of the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that predictions or recommendations generated by our AI will be accurate or achieve any particular result. AI-generated insights are provided for informational purposes only and do not constitute financial or advertising advice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCALIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Either party may terminate these Terms at any time. You may cancel your account from the account settings. We may suspend or terminate your access immediately if:

• You materially breach these Terms and fail to cure the breach within 7 days of notice.
• We are required to do so by law.
• We discontinue the Service.

Upon termination, your right to use the Service ceases immediately. Sections on intellectual property, disclaimers, limitation of liability, and governing law survive termination.

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through binding arbitration or in courts of competent jurisdiction. You agree to submit to the personal jurisdiction of such courts and waive any objections to venue or jurisdiction.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, where changes are material, notify you via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
